Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the website at wellspringremodeling.com (the “Site”) and any services, including communications (email, SMS/text messaging), provided by Wellspring Remodeling, LLC (“Wellspring,” “we,” “us,” or “our”). By using the Site or enrolling in or using our services—including providing your phone number—you agree to these Terms.

1. Services; Contracts

1.1 Scope of Services.

Wellspring Remodeling provides home renovation, remodeling, and general contracting services.

1.2 Estimates & Agreements. Any work we perform is subject to a separate written agreement or contract, which will detail scope, pricing, schedule, warranties, change orders, payment terms, and other terms. These Terms do not replace those project-specific contracts but govern your relationship with us generally (including via our Site).

1.3 Project Changes. All changes or extra work requested after agreement must be documented in writing via change orders signed by both parties; additional costs/time adjustments may apply.

2. Use of the Website

2.1 Permitted Use. You may view, download, and print pages or materials from the Site for your personal, noncommercial use, provided you retain any copyright or proprietary notices.

2.2 Prohibited Use. You agree not to (a) use the Site for unlawful or fraudulent purposes; (b) interfere with or damage the Site, servers, or networks; (c) attempt unauthorized access to secure areas; (d) upload harmful code.

2.3 Intellectual Property. Content, design, graphics, and all related materials on the Site are owned or licensed by Wellspring and protected by copyright, trademark, and other intellectual property laws. You may not modify, reproduce, distribute, or create derivative works without our prior written permission.

3. Disclaimers & Limitations of Liability

3.1 No Warranty. The Site and all content are provided “as is” and “as available,” without any warranties (express, implied, statutory). To the fullest extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

3.2 Limitation of Liability. In no event will Wellspring, its officers, employees, contractors or agents be liable for indirect, incidental, special, punitive, or consequential damages (including lost profits or savings) arising out of or in connection with your use of the Site or our services, even if advised of the possibility of such damages.

3.3 Cap on Liability. Our liability to you under these Terms or any contract will not exceed the amount you paid to us (if any) for the particular service giving rise to the claim.

4. Indemnification

You agree to defend, indemnify, and hold harmless Wellspring and its officers, employees, contractors, and agents from and against any third-party claims, liabilities, costs, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site or services; (b) your breach of these Terms; or (c) your violation of any rights of another.

5. SMS / Text Messaging Terms

Because you may opt in to receive SMS / text messages from us (for updates, reminders, marketing, service communication), the following additional terms apply:

5.1 Consent & Opt-In. By providing your mobile or wireless phone number to Wellspring (via signup form, web form, text message, verbal or written), you expressly consent to receive recurring SMS/text messages from us to that number, including promotional or non-promotional messages, as allowed under applicable law and regulations (such as the Telephone Consumer Protection Act, TCPA, and wireless carrier A2P rules). You represent that you are the owner or authorized user of the phone number you provide.

5.2 Message Frequency & Charges. Message frequency may vary. Standard message and data rates from your carrier may apply. You are responsible for any such carrier charges.

5.3 Opt-Out. You may opt out at any time by replying “STOP” to any message. After we receive your STOP request, we will send a confirmation message (“You have been unsubscribed,” or similar) and then no further messages (except a final confirmation) will be sent. You may also opt out by contacting us (see “Contact Us” section). Rejoining (opting back in) requires affirmative consent.

5.4 Help. For help or support, you may reply “HELP” to a text message or contact us at (913) 904-8333/[email protected].

5.5 Changes in Messaging Program. We may modify or discontinue SMS services (including message frequency) at our discretion. We may also change providers or methods for sending SMS. We will provide notice where required by law.

5.6 Mobile Carriers & Compliance. We do not guarantee that carriers will deliver all messages. We comply with applicable A2P (application-to-person) messaging guidelines and carrier rules (e.g., throughput, content restrictions). We reserve the right to reject participation or remove users who violate rules or abuse the system.

6. Privacy & Personal Data

Your use of the Site and services is subject to our Privacy Policy, which is incorporated by reference into these Terms.

7. Governing Law, Dispute Resolution & Miscellaneous

7.1 Governing Law. These Terms and any dispute shall be governed by and construed in accordance with the laws of the State of [Insert Your State], without regard to conflict of law rules.
